2. Notice of Arbitration and Class Action Waiver

THE ARBITRATION AGREEMENT SECTION CONTAINS A MANDATORY INDIVIDUAL ARBITRATION PROVISION AND A CLASS/COLLECTIVE ACTION AND JURY TRIAL WAIVER. UNLESS YOU OPT OUT, DISPUTES BETWEEN YOU AND SBS WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, AND YOU EXPRESSLY WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION PROCEEDING.

You confirm you hold all rights necessary to grant this license. 
• Communications: Any ideas, suggestions, or communications sent to SBS will be treated as non-confidential and may be used without obligation to you. 
• Third-Party Content: SBS is not responsible or liable for Content shared by third parties on the Website.

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from SBS. This includes SMS messages for conversations (external). Message frequency varies. 5. Rules of Conduct

SBS reserves the right to terminate access and pursue legal action for violations.

SBS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SBS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. 

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SBS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR DATA) ARISING FROM YOUR USE OF THE WEBSITE. SBS’S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF YOUR DIRECT DAMAGES OR ONE HUNDRED US DOLLARS ($100). 

11. Arbitration Agreement & Dispute Resolution

• Mandatory Arbitration: Any dispute or claim arising out of or relating to SBS or these Terms will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA"). 
• Pre-Arbitration Negotiation: Before initiating arbitration, the claiming party must send a written Notice of Dispute and negotiate in good faith for sixty (60) days. 
• Arbitration Opt-Out: You may opt out of this Arbitration Agreement within thirty (30) days of accepting these Terms by mailing written notice to the SBS Legal Department. 
• Small Claims & Equitable Relief: Qualifying claims may be brought in small claims court after the 60-day notice period. SBS retains the right to seek court injunctions for intellectual property or data security violations. 

12. Class Action & Jury Trial Waiver

ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY CLAIMS PROCEEDING IN COURT. 

13. Intellectual Property

Trademarks, logos, and service marks displayed on the Website are the property of SBS or third parties. Unauthorized copying or use is prohibited. Copyright infringement notices or counter-notices may be sent to privacy@sbs-cas.com. 

14. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any legal suit or proceeding not subject to arbitration shall be instituted exclusively in the state or federal courts located in California.
